Disclosures
The full, plain-language disclosures for AlphaQuantAgent. We show you everything the system does — including the bad days — so these are here in the open, not buried in fine print. Last updated 2026-07-25.
What AQ is, and what it is not
AlphaQuantAgent ("AQ Agent") provides algorithmic trading software as a service. It is not registered as an investment adviser, broker-dealer, or fund manager with any authority. We design and maintain the strategies the software can run — their rules, eligible instruments, sizing logic and risk controls — except for features expressly identified as user-directed. You select which plan and which engines are enabled, you remain the account holder, and you decide whether to activate the service. We do not evaluate your personal financial circumstances and we do not provide individualized recommendations: no plan or engine is suggested, selected, or adjusted for you.
Your money stays in your account
All trading happens in your own brokerage account — there is never a shared pool. The broker API keys we use are trade-only: they have no access to ACH transfers, withdrawals, or external transfers, and your funds can only move through your own broker portal. The same authorization does permit the software to submit and cancel orders once you activate it, which can materially change your holdings and can cause losses.
Backtests are hypothetical
Any backtest results shown or committed to the source repository are hypothetical and forward-looking, not realized returns. They are calibrated against historical data and assume the strategies' rules behave consistently with that calibration. Simulated or hypothetical performance has inherent limitations and does not represent actual trading.
The Active Select engine is not backtested
The Active Select engine's monthly stock list is proposed by an AI model. By design it carries no backtested return claim — an AI-assisted selection cannot be honestly backtested, because the model already knows how history unfolded. Each list is frozen with its rationale for audit and validated forward in paper trading. Where its behavior is shown, it reflects recorded live decisions, not a simulation.
Paper trading is simulated capital
Paper trading uses simulated capital, not real money. It is provided so you can observe how the agent operates before activating live capital. Paper results are clearly labeled as simulated and do not represent actual trading or actual returns.
The Live Room shows real, unedited behavior
Where the site shows a "Live Room," it reflects a real account operated by the founder, updated automatically and unedited — including losing days. It is shown as behavior actually recorded, not a curated highlight. Amounts may be withheld; where the account is a paper account, it is labeled as simulated capital. Historical behavior does not guarantee future results.
Fees
US stocks and ETFs traded through the compatible broker carry no brokerage commission. Options strategies pay minimal regulatory and clearing fees per contract. AQ Agent charges a separate, flat monthly subscription, independent of your account's size or performance.
Risk of loss
Investing carries risk, including the possible loss of principal. Higher-growth portfolios carry higher volatility. No strategy, risk control, or circuit breaker can eliminate the risk of loss. Past performance does not guarantee future results.
Your broker handles your money and your identity checks
Opening your brokerage account, verifying your identity, anti-money-laundering screening, establishing where your funds come from, and processing deposits and withdrawals are your broker's responsibility, under your agreement with them. We are not a party to that relationship and we do not repeat those checks.
We never accept, hold, transmit or take custody of your money. The broker credentials you give us are trade-only and cannot withdraw or transfer funds out of your account. Nothing you pay us is an investment or a deposit — our only charge is the software subscription, which is separate from your brokerage account and never funds it.
By using the service you confirm that you own the account you connect, that the funds in it are yours and lawfully sourced, that you are not acting for an undisclosed third party, and that you are not a sanctioned person or located in a sanctioned territory. You are responsible for the laws of your own country, including any reporting a foreign brokerage account creates for you. We may suspend or terminate access if that stops being true.
Taxes are between you and your broker
We do not give tax advice and we do not prepare, calculate or file anything for you. Your broker determines your cost basis, applies wash-sale and other adjustments, and issues the official tax forms for your account — the app links to them, it does not replace them. Any gain or loss figure we display is an operational read-out for following your portfolio; where it differs from your broker's forms, the forms govern.
One thing is worth knowing up front. These strategies trade actively and use options, so most of the gains they realize are likely to be short-term rather than long-term, and positions repeatedly opened and closed across engines can trigger wash-sale adjustments. Depending on where you are resident that can change what you owe substantially. Talk to your own tax professional.
The software can make mistakes
Execution of a frozen strategy configuration is rules-based, reproducible and auditable: given the same inputs and the same configuration it makes the same decisions, and its objective is to execute the strategies you selected as faithfully as it can. One upstream component is AI-assisted — the monthly model universe one engine trades — and may produce different output over time; each approved universe is validated, frozen and versioned before use, and the same universe applies to every client who enables that engine. None of this means the software is correct or free of defects — a rules-based system reproduces its own mistakes exactly as reliably as its successes.
The software may make unintended errors and may place, size, modify, duplicate, delay, or fail to place orders in ways that were not intended and that cause losses in your account. Causes include defects in our code, incorrect or stale market data, broker or exchange API errors and outages, network and hosting interruptions, corporate-action, expiry or assignment handling errors, and configuration or deployment mistakes. We do not warrant uninterrupted or error-free operation.
Separately, and even when the software behaves exactly as designed, the agent's decisions can be adversely affected by market events and market outcomes — gaps, halts, illiquidity, volatility spikes, slippage, early assignment, regime changes, and events with no precedent in the data the strategies were calibrated on.
Limitation of liability
The service is provided "as is" and "as available", without warranties of any kind. To the maximum extent permitted by law, AlphaQuantAgent LLC and its members, managers, officers, employees, contractors and agents are released from claims, losses and damages arising out of trading activity in your account — including losses caused by unintended software errors and losses caused by market events. We are not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost opportunity, or trading losses, and our total aggregate liability is limited to the subscription fees you actually paid in the twelve months before the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded, including for fraud or wilful misconduct.
You keep the right and the responsibility to monitor your account and to pause, override or terminate the agent at any time, from the dashboard or directly at your broker.
Who you are contracting with
The service is operated by AlphaQuantAgent LLC, a limited liability company organized in Wyoming, United States, with its principal office at 30 N Gould St, Ste R, Sheridan, WY 82801, United States. These disclosures are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules; that does not deprive you of mandatory consumer protections in your place of residence.
The binding version is the disclosure you accept in the app before any order is submitted on your behalf. It carries a version number and the timestamp of your acceptance, both visible to you at any time. This page mirrors it in plain language, and our privacy notice covers what personal data we hold and who processes it.
